Terms of Service

1. Agreement and Definitions

These Terms govern your use of the platform and services operated by TyRey Technologies, Inc. ("TyRey", "we", "us"). By creating an account, purchasing a deliverable, or otherwise using the Service you agree to them. If you are agreeing on behalf of a company, you confirm you have authority to bind it.

"Service" means the TyRey Intelligence™ platform and all products offered through it, including the self-serve intelligence workspace, one-time intelligence packs, TyRey Connect AI, and the sales-led engagements (Due Diligence Studio, Acquisition Scout, and CEO in a Box). "Inputs" means the information you submit. "Outputs" means the documents and analyses the Service generates from your Inputs.

2. Outputs Are Planning Tools, Not Professional Advice

Outputs are strategic planning tools provided for informational purposes only. They do not constitute financial, investment, legal, tax, accounting, medical, or employment advice; are not a recommendation to buy or sell any security or enter any transaction; and are not an offer or solicitation of any kind. Scores, projections, valuations, and market sizes are derived from stated assumptions and are not guarantees of business success or future performance.

You must review every Output before relying on it or providing it to a third party. Outputs are generated by AI systems that can produce confident statements that are incomplete, out of date, or wrong. Where an Output includes a figure, a source, or a legal or financial conclusion, you are responsible for verifying it. Documents intended for investors, lenders, regulators, counterparties, or employees should be reviewed by a qualified professional in the relevant field before use.

We do not practise law and we do not draft legal instruments. Deal terms briefs are commercial negotiation preparation: they describe positions, market ranges, and the questions to put to your attorney. They do not contain operative contract language, they are not legal advice, and no attorney-client relationship is created by your use of the Service. Policy frameworks describe how a workplace policy is designed to operate; they do not determine any person’s legal entitlements, which vary by jurisdiction. Route both to a licensed attorney in the relevant jurisdiction before you rely on them.

Computed figures. Where an Output contains a financial projection, the arithmetic is computed by our model engine from stated drivers rather than written by an AI system, and the drivers are disclosed alongside the result. That makes the arithmetic internally consistent and checkable. It does not make the drivers correct: a projection is only as good as its assumptions, those assumptions are yours to confirm, and no projection is a guarantee of future performance.

3. How AI Is Used

The Service uses third-party AI models to generate Outputs. Your Inputs are transmitted to our AI provider for the sole purpose of producing your Outputs. Some features additionally perform live web searches to ground research in retrieved sources; where this happens, the Output identifies the sources used.

AI output is probabilistic. The same Input can produce different Outputs on different runs. We do not warrant that any Output is accurate, complete, current, or fit for a particular purpose. See our Privacy Policy for how Inputs are handled and which processors are involved.

4. Accounts and Acceptable Use

You are responsible for your account credentials, for all activity under your account, and for the accuracy of the information you submit. Notify us promptly at sales@tyreytechnologies.com if you believe your account has been accessed without authorisation.

You may not use the Service to:

5. TyRey Connect AI — Messaging Compliance

If you use TyRey Connect AI to send messages, you are the sender of record and are solely responsible for compliance with all applicable telecommunications and marketing law, including the US Telephone Consumer Protection Act, CAN-SPAM, carrier requirements, and equivalent rules in your jurisdiction.

You represent that you have obtained the consent required to message each recipient, will honour opt-out requests, and will complete any carrier registration (such as 10DLC or toll-free verification) required for your traffic. AI-generated replies are sent on your behalf and under your responsibility; you are expected to configure and supervise them. We may suspend messaging that we reasonably believe is non-compliant or that places carrier connectivity at risk.

6. Intellectual Property

Your Inputs. You retain all rights in the information you submit. You grant us a limited licence to process it for the purpose of operating the Service and producing your Outputs.

Your Outputs. Subject to payment, you own the Outputs generated from your Inputs and may use them for any lawful purpose.

Our platform. TyRey retains all rights in the Service and in the underlying intellectual property used to produce Outputs, including the Business Genome™, Intelligence Score™, and all other frameworks, prompts, scoring systems, pipelines, and methodologies. Nothing in these Terms transfers any right in them, and the fact that an Output was produced using them grants you no licence to them.

Outputs are generated from structured frameworks applied to your Inputs. Similar Inputs may produce similar Outputs for other customers, and you receive no exclusivity in the structure, format, or approach of any Output.

7. Payment, Renewal, and Refunds

One-time intelligence packs. Charged at purchase via Stripe. If a purchased deliverable fails to generate, we will re-run it; if it cannot be delivered, contact sales@tyreytechnologies.com within 14 days of purchase for a refund.

Subscriptions. Renew automatically each month until cancelled, and can be cancelled at any time through the billing portal. Cancellation takes effect at the end of the paid period; we do not pro-rate partial months. Fees already paid are non-refundable except where required by law or where the Service was unavailable for a material part of the period.

Service engagements. Due Diligence Studio, Acquisition Scout, and CEO in a Box engagements are governed by the scope, fees, and payment schedule in the written proposal or order form for that engagement. Where that document conflicts with these Terms, it controls for that engagement.

Prices exclude taxes unless stated. Failed or reversed payments may result in suspension of access until resolved.

8. Confidentiality

We treat the business information you submit as confidential and will not disclose it to third parties except to the processors needed to operate the Service, as described in our Privacy Policy, or where required by law. If your engagement requires a separate non-disclosure agreement, contact sales@tyreytechnologies.com.

9. Third-Party Services

The Service depends on third parties including AI model providers, payment processors, hosting providers, email providers, and telecommunications carriers. Their availability is outside our control, and interruptions in their services may interrupt ours. We are not responsible for third-party acts or omissions.

10. Disclaimer of Warranties

The Service and all Outputs are provided "as is" and "as available", without warranties of any kind, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that the Service will be uninterrupted or error-free, or that any Output will achieve any particular result — including that any business plan will secure financing, that any memorandum will attract investment, that any target identified will be available or suitable, or that any proposal will win work.

Some jurisdictions do not allow the exclusion of certain warranties, so parts of this section may not apply to you.

11. Limitation of Liability

To the maximum extent permitted by law, TyRey will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any lost profits, lost revenue, lost business opportunity, lost data, or cost of substitute services, arising out of or relating to the Service or any Output, whether based in contract, tort, or any other theory, even if advised of the possibility.

To the maximum extent permitted by law, TyRey's total aggregate liability arising out of or relating to the Service is limited to the amounts you paid to TyRey in the twelve months preceding the event giving rise to the claim.

Some jurisdictions do not allow these limitations, so parts of this section may not apply to you.

12. Indemnification

You agree to indemnify and hold harmless TyRey and its officers, employees, and agents from any claim, loss, or expense (including reasonable legal fees) arising from your Inputs, your use or distribution of Outputs, your messaging activity through Connect AI, or your breach of these Terms or of applicable law.

13. Suspension and Termination

You may stop using the Service and close your account at any time. We may suspend or terminate access for breach of these Terms, non-payment, or activity that creates legal or security risk. On termination your right to use the Service ends; Outputs already delivered remain yours, and sections that by their nature should survive — including intellectual property, disclaimers, limitation of liability, indemnification, and governing law — survive.

14. Changes to the Service and to These Terms

We may modify the Service and these Terms. Where a change is material we will give notice through the Service or by email before it takes effect. Continued use after the effective date constitutes acceptance. If you do not agree, stop using the Service and cancel any subscription.

15. Governing Law and Disputes

These Terms are governed by the laws of the State of Iowa, without regard to its conflict-of-law rules. The state and federal courts located in Iowa will have exclusive jurisdiction over any dispute, and both parties consent to that venue.

Before filing any claim, you agree to contact us at sales@tyreytechnologies.com and attempt in good faith to resolve the dispute informally for at least 30 days.

16. General

These Terms, together with any engagement document, are the entire agreement between us regarding the Service. If a provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
